PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SELLING LANE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. INTRODUCTION AND ACCEPTANCE

These Terms of Service (“Terms”) constitute a binding legal agreement between Selling Lane, LLC (“Selling Lane,” “we,” “us,” or “our”) and you (“User,” “you,” or “your”), governing your access to and use of the Selling Lane auction management software, website, mobile applications, and related services (collectively, the “Services”).

These Terms apply to all users, including:

  • “Sellers”: Dealerships, auctioneers, or individuals using the software to list assets.
  • “Bidders”: Individuals or entities registering to bid on assets.

2. CRITICAL DISCLAIMER: SELLING LANE IS A VENUE

TO COMPLY WITH GLOBAL REGULATIONS AND GOOGLE ADVERTISING POLICIES, YOU MUST UNDERSTAND OUR ROLE:

2.1 Technology Provider Only

Selling Lane is a Software-as-a-Service (SaaS) provider. We provide the technology that allows independent Sellers to conduct their own auctions. We are not an auctioneer, dealer, broker, or agent. We do not own, inspect, possess, transfer title to, or sell the vehicles or items listed on the Services.

2.2 Relationship of Parties

Selling Lane is not a party to any transaction between a Seller and a Bidder. The contract for the sale of any item is directly and strictly between the Seller and the Bidder.

2.3 Release of Liability

Because Selling Lane is not a party to the actual transaction, in the event of a dispute between a Seller and a Bidder (e.g., regarding vehicle condition, payment, or title transfer), you explicitly release Selling Lane (and our officers, directors, agents, and employees) from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By registering, you represent and warrant that you have the authority to bind any business entity you represent.

3.2 Verification (KYC/KYB)

To comply with the EU Digital Services Act (DSA) and US anti-fraud regulations, we reserve the right to verify the identity of all Sellers (“Know Your Business Customer”). You agree to provide accurate, current, and complete information during registration. Failure to provide verification documents may result in immediate account suspension.

3.3 Account Deletion (App Store Compliance)

You may request the deletion of your account and associated data at any time.

  • Retention: We may retain certain data as required by law (e.g., tax records) even after a deletion request.

4. ACCEPTABLE USE & PROHIBITED ITEMS (GOOGLE COMPLIANCE)

To ensure compliance with Google Ads and Google Play policies, the following items and behaviors are strictly prohibited on the Selling Lane platform. Violation of this section will result in immediate ban.

4.1 Prohibited Items

You may NOT use Selling Lane to sell or promote:

  • Illegal Goods: Stolen property, drugs, drug paraphernalia, or controlled substances.
  • Weapons: Firearms, ammunition, explosives, or instructions on making weapons.
  • Counterfeit Goods: Fake luxury goods, replicas, or unauthorized copies of copyrighted works.
  • Hazardous Materials: Toxic, radioactive, or combustible materials.
  • Adult Content: Pornography or sexually explicit material.

4.2 Transparency & Misrepresentation

  • Pricing: Sellers must clearly disclose all fees (Buyer’s Premiums, Doc Fees, Taxes) prior to the Bidder placing a bid. Hidden fees are strictly prohibited.
  • Condition: Sellers must not misrepresent the condition of an item. “Bait and switch” tactics are prohibited.

5. AUCTION AND BIDDING RULES

5.1 Bids are Binding Contracts

When a Bidder places a bid, it is an irrevocable offer to purchase the item at that price. If the Bidder wins the auction, they are legally obligated to complete the purchase.

5.2 “As-Is, Where-Is”

Unless explicitly stated otherwise by the Seller, all items are sold “AS-IS, WHERE-IS” with all faults. Selling Lane makes no warranties, express or implied, regarding the quality, safety, or legality of any items listed.

5.3 Reserve Prices

Sellers may set a “Reserve Price” (minimum price). If the bidding does not reach the Reserve Price, the Seller is not obligated to sell the item.

5.4 Offline Transactions (Circumvention)

Users are prohibited from using Selling Lane to find other users and then completing the transaction off-platform to avoid software fees (“Fee Avoidance”).

6. FEES AND PAYMENTS

6.1 Service Fees

Sellers agree to pay Selling Lane the software subscription fees and/or per-transaction fees as agreed upon in their Service Order or Pricing Page.

6.2 Taxes

  • Users are Responsible: You are solely responsible for determining, collecting, reporting, and paying all applicable taxes (Sales Tax, VAT, GST/HST) associated with your transactions.
  • Marketplace Facilitator Laws: In jurisdictions where Selling Lane is legally deemed a “Marketplace Facilitator,” we may automatically calculate and collect taxes on your behalf.

7. INTERNATIONAL COMPLIANCE

7.1 For Users in the European Union (EU) & UK

  • Digital Services Act (DSA) Notice: Selling Lane is considered a “Hosting Service.” We do not proactively monitor content but will remove illegal content upon valid notice.
  • Right of Withdrawal:
    • B2B: Professional buyers generally do not have a Right of Withdrawal.
    • B2C: Sellers selling to consumers must comply with the EU Consumer Rights Directive. Note: Public auctions dealing in second-hand goods may be exempt from the Right of Withdrawal depending on the specific member state law. Sellers are responsible for stating their specific return policy.
  • GDPR: Our data processing practices are outlined in our [Privacy Policy].

7.2 For Users in Canada

  • PIPEDA: We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA). Our Privacy Officer can be contacted at info@sellinglane.com .
  • Quebec Language Clause: The parties acknowledge that they have required that these Terms and all related documents be prepared in English. Les parties reconnaissent avoir exigé que la présente convention et tous les documents connexes soient rédigés en anglais.

8. INTELLECTUAL PROPERTY & DMCA

8.1 Ownership

Selling Lane retains all rights to the software, code, and branding. You grant Selling Lane a non-exclusive license to use the images and descriptions you upload for the purpose of promoting the auction.

8.2 DMCA Safe Harbor (USA)

If you believe content on our site infringes your copyright, please send a notice to our Copyright Agent:

  • Subject: DMCA Takedown Request
  • Requirement: Include a description of the work, the URL of the infringing material, and your contact info.

9. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SELLING LANE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL SELLING LANE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SELLING LANE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. DISPUTE RESOLUTION (BINDING ARBITRATION)

FOR US RESIDENTS: ANY DISPUTE ARISING OUT OF THESE TERMS SHALL BE RESOLVED BY BINDING ARBITRATION CONDUCTED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA), RATHER THAN IN COURT. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
